Electronic Signature Disclosure & Consent

Effective Date: January 1, 2025

This Electronic Signature Disclosure and Consent ("Disclosure") applies to any and all communications, documents, and transactions that you agree to receive and sign electronically through Popform, Inc. ("Popform," "we," "us," or "our") and our platform at popform.ai (the "Services").

Please read this Disclosure carefully. By consenting to this Disclosure, you agree to use electronic records and electronic signatures in connection with your transactions through our Services.

1. Scope of Consent

By agreeing to this Disclosure, you consent to:

  • Receive documents, notices, disclosures, and communications ("Documents") electronically through the Services.
  • Sign Documents using electronic signatures through the Services.
  • Conduct transactions electronically through the Services.

This consent applies to all Documents related to any transaction you conduct through the Services, unless you withdraw your consent as described in Section 6.

2. Electronic Records and Signatures

Under the Electronic Signatures in Global and National Commerce Act (ESIGN Act, 15 U.S.C. 7001 et seq.) and the Uniform Electronic Transactions Act (UETA), electronic signatures and electronic records have the same legal validity and enforceability as handwritten signatures and paper documents.

By providing your electronic signature through the Services, you:

  • Agree that your electronic signature is the legal equivalent of your manual/handwritten signature.
  • Acknowledge that you have read and understand the Document you are signing.
  • Intend to be legally bound by the terms of the Document.
  • Confirm that you are the person identified as the signer or are authorized to sign on behalf of the identified party.

3. Hardware and Software Requirements

To access, receive, and retain electronic Documents and to use electronic signatures through the Services, you will need:

  • Internet Connection: A stable internet connection (broadband recommended).
  • Web Browser: A current version of a major web browser such as Google Chrome, Mozilla Firefox, Safari, or Microsoft Edge with JavaScript and cookies enabled.
  • Operating System: A computer or mobile device running a current operating system (Windows 10 or later, macOS 11 or later, iOS 15 or later, or Android 10 or later).
  • Email Account: A valid email address to receive notifications and copies of signed Documents.
  • PDF Reader: Software capable of viewing PDF files (such as Adobe Acrobat Reader or a browser with built-in PDF support) to view and retain signed Documents.
  • Storage: Sufficient storage space on your device or cloud storage to save copies of electronic Documents for your records.

We reserve the right to update these requirements as technology evolves. We will notify you of any material changes to these requirements.

4. How to Sign Electronically

When you are presented with a Document for electronic signature through the Services:

  1. Review: Carefully read the entire Document before signing.
  2. Authenticate: Verify your identity through the authentication method provided (email verification, access code, or other method).
  3. Sign: Apply your electronic signature by clicking or tapping where indicated, typing your name, or drawing your signature as directed by the signing interface.
  4. Confirm: Review your signature placement and confirm your intent to sign.
  5. Receive Copies: After signing, you will receive a copy of the signed Document via email and through your Popform account.

5. Obtaining Paper Copies

You have the right to receive paper copies of any Documents that are provided to you electronically. To request a paper copy, please contact us at:

Paper copies will be provided to you at no additional charge. Requesting paper copies does not withdraw your consent to receive Documents electronically.

6. Withdrawing Your Consent

You may withdraw your consent to receive Documents electronically at any time by contacting us at legal@popform.ai. If you withdraw your consent:

  • The withdrawal will take effect after we have had a reasonable opportunity to process your request.
  • The withdrawal will not affect the legal validity or enforceability of any Documents that were signed electronically prior to the withdrawal.
  • Your ability to use certain features of the Services may be limited or terminated, as electronic delivery and signatures are integral to the functionality of the Services.
  • You will not be charged any fees for withdrawing your consent.

7. Updating Your Contact Information

It is your responsibility to keep your email address and other contact information current in your Popform account. You can update your contact information by:

  • Logging into your account and updating your profile settings.
  • Contacting us at support@popform.ai.

If we are unable to deliver a Document to you electronically because your contact information is outdated or incorrect, we are not responsible for any consequences resulting from that failed delivery.

8. Audit Trail and Record Integrity

For every electronically signed Document, Popform maintains a comprehensive audit trail that includes:

  • The identity and email address of each signer.
  • Timestamps for when the Document was sent, viewed, and signed (in UTC).
  • IP addresses associated with each signing event.
  • The authentication method used to verify each signer's identity.
  • A tamper-evident seal to ensure the Document has not been altered after signing.

This audit trail is attached to or associated with the signed Document and serves as evidence of the signing process.

9. Document Retention

We recommend that you download and retain copies of all electronically signed Documents for your records. While Popform retains signed Documents in your account for the duration of your subscription, you are ultimately responsible for maintaining your own copies.

After account termination, signed Documents may be retained for a limited period in accordance with our data retention policy and applicable legal requirements.

10. Federal and State Law

This Disclosure and your consent to electronic signatures and records are governed by the ESIGN Act, UETA (as adopted by applicable states), and other applicable federal and state laws. Nothing in this Disclosure is intended to limit or override any consumer protection provisions that require specific disclosures to be provided in a particular manner.
