Clauses
A clause letting a party end the contract for any reason, without having to prove fault.
Termination for convenience lets a party walk away from a contract without needing a reason. As long as they follow the notice requirement (often 30 or 60 days in writing), they can end the agreement even if the other side has done nothing wrong.
This is the counterpart to termination for cause, which requires a breach. Convenience clauses are valuable for the side that holds them and a risk for the side that does not, since a long-term deal can be unwound on short notice. Always check whether the right is mutual or one-sided, and what notice it requires.
