A non-disclosure agreement (NDA) is a contract whose entire job is to protect confidential information. One party (or both) agrees not to disclose or misuse what the other shares, whether that is product plans, customer lists, financials, or source code. NDAs are standard before investor conversations, partnership talks, hiring for sensitive roles, and vendor evaluations.
A one-way NDA protects information flowing in a single direction; when both sides share, you want a mutual NDA. The core mechanics mirror a confidentiality clause: what is covered, what is excluded, and how long the duty lasts.
